Share Buyback
The Board of Management of STRATEC Biomedical Systems AG resolved on June 30, 2008 to acquire treasury stock in the company with an equivalent value of up to Euro 2.0 million in the period up to December 31, 2008. STRATEC Biomedical Systems AG is thus acting on the authorization granted by the Annual General Meeting on May 21, 2008 to acquire treasury stock pursuant to Section 71 (1) No. 8 of the German Stock Corporation Act (AktG). The company is accordingly authorized up to November 20, 2009 to acquire treasury stock via the stock exchange up to a maximum of 10% of existing share capital upon the resolution being adopted, less any treasury stock already owned by the company.
There are currently no plans to retire the shares thereby bought back. STRATEC Biomedical Systems AG will rather obtain the financial scope necessary to make acquisitions and to safeguard its growth strategy. Moreover, STRATEC Biomedical Systems AG reserves the right to put the shares thereby bought back to other uses consistent with the authorization granted by the Annual General Meeting.
The execution of the buyback will be managed by a bank which will decide on the timing of the acquisition of treasury stock independently and will not be influenced by the company when reaching its decisions. The buyback of the shares will be executed in accordance with the safe harbour regulations pursuant to Sections 14 (2) and 20a (3) of the German Securities Trading Act (WpHG) in conjunction with Regulation (EC) No. 2273/2003 of the Commission dated December 22, 2003 – Exemptions for Buy-Back Programmes and Stabilisation of Financial Instruments.
The shares will be acquired at current market prices in each case and will be exclusively acquired via the XETRA trading platform of the Frankfurt stock exchange. Moreover, the shares will not be acquired at a price higher than the most recent independent transaction executed in Xetra trading or – should this be higher – than the highest independent bid in Xetra trading at the respective time. The acquisition will be executed by market order and on a discretionary basis. No more than 25% of the average daily trading volume on the 20 trading days preceding the purchase date may be acquired per day.
